Ryan C. Toups has significant experience assisting clients with complex transactional and tax needs. He provides each client with a collaborative approach and a dedication to comprehending a client’s issue. Ryan advises clients on issues regarding different types of business transactions, including corporate, limited liability company and partnership formations, mergers, acquisitions, buy-outs, and liquidations.

Ryan leverages his extensive tax proficiency and transactional experience to guide clients on their closely held companies. He also has in-depth knowledge of drafting and reviewing operating agreements, as well as developing successful transition and exit strategies for business owners facilitating sales or generational transitions.
As a licensed title producer, Ryan has assisted clients with reviewing and preparing title commitments and loan/owner policies for numerous multi-million dollar commercial real estate closings. He also regularly works with borrowers and lenders to review and prepare loan agreements, security agreements, promissory notes, and credit facility renewal documents.
Ryan brings a high level of experience, sound judgment, and personal attention to help clients with tax business matters. He has a wealth of experience drafting and reviewing operating agreements. He is knowledgeable about researching complicated and unique issues and providing clients with practical and usable advice.
Ryan received a Bachelor of Arts from Louisiana State University in 2002, where he majored in Philosophy. He was a member of the International Golden Key Honor Society and a charter member of Theta Alpha Kappa Honor Society. He received his Juris Doctor and a Bachelor of Civil Law from the Paul M. Hebert Law Center at Louisiana State University in 2005. During that time, he was the assistant editor and writer for the Civilian Society Newsletter. Following law school, Ryan earned his Master of Laws in Taxation from the University of Denver Sturm College of Law in 2006.
