Business and Taxation

The Business and Taxation Section provides advice and representation in a wide variety of business areas such as business formation and start-up issues, mergers, dispositions, stock and asset acquisitions, corporate reorganizations, dissolutions, federal and state regulations, bank governance, corporate management, franchising, and entertainment law.

In addition to representing borrowers and lenders in all types of commercial loan transactions, the Section's attorneys render advice on all phases of real-estate transactions, including the purchase, sale, and lease of commercial, industrial, retail, residential and development properties, as well as taxable and tax-exempt bonds, registered securities offerings, syndications, and the private placement of securities. The Section's practice includes estate planning and administration, wills, trusts, and all areas of federal, state, and local tax matters. The Section's attorneys offer representation in all areas of federal, state and local governmental relations, including zoning and expropriation matters and federal, state, and local constitutional and charter issues.
